These are your clients and we remember that. Freedom to pursue your own business. Depending on your preference we can take over after the initial contact is made with the client leaving you time to pursue your own business. All you have left to do is cash the check. 	THE AGREEMENT
	This agreement covers the resale of services provided by Custom Copywriting. Custom Copywriting provides copywriting and marketing consulting.

	Vendor Covenants
	Custom Copywriting will provides copywriting and marketing consulting services on the Reseller's behalf. At all times Custom Copywriting will respect the relationships between the Reseller and the Client Custom Copywriting will not intentionally subvert the existing relationship between the Reseller and the Client Custom Copywriting agrees to hold as confidential; all information on the Client, and the details of the relationship between Custom Copywriting and the Reseller.
	Reseller Covenants
	The Reseller agrees not to misrepresent Custom Copywriting's services. In the event the Reseller handles the payment of Custom Copywriting's fees: The Reseller agrees to honor the fee schedule and requirements outlined in each contract. All payments must be made within fifteen days of receiving the invoice, or services may be withheld.
	Reseller Arrangement
	From the options below please choose the reseller relationship that best suits your needs:
	Value-Added Sale Relationship:
	The Reseller agrees to direct all copywriting questions to a Custom Copywriting representative who will use your company name when replying to the client or will reply to the Reseller by Email. Custom Copywriting will not commence promotions of any kind until the standard 50% service deposit is received. {For contracts above $8000.00, Custom Copywriting may accept a 25% deposit - this will be on a case-by-case basis} Commission Terms for Value-Added Resellers Commissions are not included for Value-Added Resellers. It is expected that a Value-Added Reseller will be up-selling Custom Copywriting’s services. There are, however, occasionally exceptions to this rule. Please do not hesitate to contact us if you wish to discuss a specific situation with a Custom Copywriting staff member.
	Direct-Sale Relationship:
	The Reseller will pass this client directly to Custom Copywriting, which will provide copywriting services. Commission Terms for Direct-Sale Resellers Custom Copywriting agrees to pay the applicable commission (note Reseller service chart) to the Reseller in percentage installments in accordance with the fees collected from the said Client (i.e. upon total payment the Reseller receives total commission). Currency & Expected Receipt of Payment Commissions will be paid within 15 days of receiving the Client payment in the same currency Custom Copywriting receives from the Client. Monthly Maintenance Monthly maintenance is not commissionable unless an annual contract is signed. The appropriate commission is noted in the Reseller’s Service Chart. Note: All commissions are subject to change as service prices fluctuate; however, such changes will not affect the applicable commission for active contracts.
	Custom Copywriting Approved Ammendments
	The following field is for ammendments to this Reseller Agreement that have been approved by Custom Copywriting via email beforehand. Please copy and paste the ammendment as received from Custom Copywriting into the following notes field. Note that ammendments that have not been approved by Custom Copywriting (proven by producing the official ammendment email) will not be binding on either party.
	Confirmed Ammendment:

	Termination of Agreement Termination of this Reseller Agreement must be made in writing and will be acknowledged immediately upon reception. All applicable notes, digital files, style sheets, and other materials supplied by Custom Copywriting must be returned or destroyed within 7 days of termination. The Reseller acknowledges that all open or unresolved contracts will not be terminated despite the termination of the Reseller Agreement and all fees are to be paid in accordance with the applicable contract/s. Affirmation This Agreement shall be construed and interpreted in accordance with, and governed by laws of the state of California. For the purpose of any action or proceeding related to this agreement, both Custom Copywriting and the Reseller hereby irrevocably consent to the exclusive jurisdiction of any court having subject matter jurisdiction in the United States.
